Karat ERP Terms of Use

Welcome to Karat ERP. We are delighted to have you as a customer. These Terms of Use (“Terms”) govern your use of the Karat ERP services, including our website (karaterp.com), the Karat App (available on iOS and Android), and related services (collectively, the “Services”). The Karat App allows jewelers to upload product details, scan barcodes/QR codes, and send catalog quotations to customers. By registering for, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Services.
1. Karat ERP Accounts and Content
1.1 Account Creation
To create an account, you must:
Be at least 18 years old.
Provide truthful and accurate information about yourself, including your name, email address, and business details.
Update your account information if it changes.
If an account is assigned to you by an administrator (e.g., your employer or educational institution), additional terms may apply, and your administrator may access or disable your account without our involvement.
1.2 Account Security
You may not share your account with anyone else. Keep your username and password confidential and avoid using the same credentials on other platforms. You are solely responsible for all activities under your account. Notify Karat ERP immediately at support@karaterp.com if you suspect unauthorized use or a security breach. Karat ERP is not liable for losses resulting from unauthorized account access.
1.3 Content Responsibility
You may upload content via the Karat App, such as product details (e.g., jewelry descriptions, images, prices) and customer contact information for quotations. By uploading content, you:
Confirm that you own all rights to the content or have permission from the rights holder.
Grant Karat ERP a non-exclusive, worldwide, royalty-free license to use, store, and display your content to provide the Services.
Acknowledge that content made publicly available (e.g., shared catalogs) is at your own risk.
Karat ERP is not responsible for content posted by other users and is not liable for any loss or damage caused by such content.
2. Modifications and Termination
Karat ERP may modify, suspend, or discontinue the Services or any feature (including the Karat App) at any time, with or without notice. We may also introduce or change fees for any feature. If we discontinue a feature, we will attempt to notify you in advance, but we are not obligated to do so.
3. Your Use of the Services
You agree to use the Services in compliance with all applicable laws and these Terms. Prohibited actions include:
Using the Services in a way that is unlawful, offensive, or interferes with their operation.
Uploading content that is libelous, obscene, harmful to minors, or infringes third-party rights.
Using the Karat App to send emergency communications or provide emergency services.
Attempting to access, modify, or reverse-engineer the Services without permission.
If we determine that your use violates these Terms, we may remove content, suspend or terminate your account, or take legal action.
You may not use content from our Services (e.g., website data, app features) without our permission or the content owner’s consent, unless permitted by law.
4. Karat App Specific Terms
4.1 App Functionality
The Karat App enables jewelers to:
Upload product details (e.g., descriptions, images, prices).
Scan barcodes and QR codes using your device’s camera to identify products.
Create and send catalog quotations to customers via email or other channels.
4.2 Camera Access
The Karat App requires camera access to scan barcodes and QR codes. By granting camera permission:
You allow the app to process barcode/QR code data locally to retrieve product information.
Images captured for scanning are not stored or transmitted unless you explicitly upload them as product images.
You may revoke camera access via your device settings, which may limit app functionality.
4.3 Data Usage
Product and customer data uploaded via the Karat App are stored securely and used only to provide the Services (e.g., generating quotations). You are responsible for ensuring the accuracy and legality of uploaded data, including obtaining consent from customers before sending quotations.
5. Communications
By providing your email address, postal address, or phone number, you consent to receive communications from Karat ERP related to the Services, consistent with our Privacy Policy. Notices from Karat ERP are effective when sent to your provided email address or posted on the Services.
You are responsible for ensuring that all communications sent via the Services (e.g., catalog quotations) comply with applicable laws, including anti-spam regulations (e.g., CAN-SPAM, GDPR). You may not send messages that are unlawful, defamatory, or infringe third-party rights.
6. Third-Party Services
6.1 Use of Third-Party Services
The Services may integrate with third-party services (e.g., email delivery platforms, analytics tools). Your use of such services is governed by their terms, and Karat ERP is not responsible for their content, privacy practices, or data handling. You waive any claims against Karat ERP related to third-party services.
6.2 Data Sharing with Third Parties
If you enable third-party services, Karat ERP may share your data (e.g., product or customer information) to enable interoperability. We are not liable for any disclosure, modification, or deletion of your data by third-party providers.
7. Fees
7.1 Subscription Fees
Use of the Services requires a subscription plan with applicable fees, charged quarterly or annually in advance. Fees are non-refundable, even if you partially use, deactivate, or terminate your account during a payment period. Taxes, levies, or duties are your responsibility unless stated otherwise.
7.2 Plan Changes
You may upgrade or downgrade your plan at any time. Upgrades apply unused prepaid fees to the new plan. Downgrades may result in loss of features, capacity, or data. Your credit card on file will be charged automatically for the new plan’s fees.
7.3 Free Trial
New users may be eligible for a free trial, unless part of a specific marketing campaign. No credit card is required during the trial. If the trial expires without payment, your account will be deactivated, and Karat ERP may permanently delete your account and data after 2 weeks.
7.4 Overdue Payments
Overdue payments accrue interest at 1.5% per month or the maximum rate permitted by law. If your account is 30 days or more overdue, Karat ERP may suspend access to the Services until payment is received.
8. Mobile Apps
The Karat App requires a mobile device (not included in your subscription) and an active internet connection. Data charges from your wireless carrier, including roaming fees, may apply. The app may collect usage data (e.g., crash reports, feature usage) and use third-party libraries, subject to these Terms.
9. Anti-Corruption
You agree not to offer or accept illegal bribes, kickbacks, or improper payments in connection with these Terms. Reasonable gifts or entertainment provided in the ordinary course of business are permitted.
10. Limitation of Liability
10.1 As-Is Services
The Services are provided “as is” without warranties of merchantability, fitness for a particular purpose, or non-infringement. Karat ERP is not liable for harm to your device, data loss, or other damages resulting from your use of the Services.
10.2 Liability Cap
Neither party’s liability under these Terms, whether in contract, tort, or otherwise, will exceed:
For professional services, the fees paid under the relevant Statement of Work in the prior 12 months.
For general Services, the subscription fees paid in the prior 12 months.
10.3 Exclusion of Damages
Neither party is liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or goodwill, regardless of whether such damages were foreseeable.
11. Indemnification
11.1 By Karat ERP
Karat ERP will indemnify you against third-party claims that the Services infringe intellectual property rights, provided the claim does not arise from unauthorized use or combination with non-Karat ERP software. We may procure rights, replace, or modify the Services to resolve such claims.
11.2 By You
You agree to indemnify Karat ERP against third-party claims arising from your breach of these Terms or your use of the Services (e.g., unlawful content or data).
11.3 Mutual Provisions
Indemnification requires prompt notification, sole control by the indemnifying party, and cooperation from the aggrieved party. Settlements must unconditionally release the aggrieved party from liability.
12. Term and Termination
12.1 Term
These Terms begin when you accept them and continue until all subscriptions expire or are terminated.
12.2 Subscription Term
Subscriptions are specified in your Order Form and automatically renew for equal periods (or one year, if shorter) unless either party provides 30 days’ notice of non-renewal. Renewal pricing may increase by up to 5% unless otherwise notified 60 days in advance. Reduced subscription volume may result in repricing.
12.3 Termination
You may stop using the Services at any time. Karat ERP may suspend or terminate your access for:
Non-compliance with these Terms.
Actions causing legal liability, disruption, or harm to our business or reputation.
Other reasons, with or without notice.
We will attempt to notify you in advance of suspension or termination and assist with data retrieval, except in cases of flagrant violations, court orders, or immediate risks. Termination may result in loss of access to your data.
12.4 Refunds and Payments
If you terminate for Karat ERP’s material breach, we will refund prepaid fees for the remaining term. If we terminate for your breach, you must pay any outstanding fees. Termination does not relieve you of fees owed for prior periods.
13. Warranties and Disclaimers
13.1 Authority
Each party warrants it has the legal power to enter these Terms.
13.2 Functionality
Karat ERP warrants that the Services will perform materially as described in the current documentation during the subscription term.
13.3 Security
Karat ERP and its providers use commercially reasonable efforts to maintain and safeguard your data against loss, alteration, or unauthorized access.
14. General Terms
14.1 Governing Law
These Terms are governed by the laws of the United Kingdom. Any disputes will be resolved exclusively in UK courts, and you consent to their jurisdiction. If any provision is unenforceable, it will not affect other provisions.
14.2 Notices
Notices from Karat ERP will be sent via email or posted on the Services. Email notices are effective upon transmission.
14.3 Modifications
Karat ERP may modify these Terms at any time. Continued use after changes indicates your agreement. If you do not agree, stop using the Services.
